Energy Infrastructure

Sponsor capital for produced water midstream platforms in the Permian Basin.

The Constraint

Produced water disposal capacity in the Permian Basin is constrained. Pore space availability is tightening, surface injection pressures and volume allocations are under expanded regulatory review, and seismicity-driven curtailments in the Northern Culberson-Reeves Seismic Response Area have removed disposal capacity from the system. Long-lateral development continues to push water-to-oil ratios higher.

Operators capable of delivering contracted, long-dated disposition capacity to E&P customers — through integrated gathering, recycling, and disposal infrastructure — are commanding the market. This is a solvable problem at scale. Winters & Winters provides the sponsor capital that moves those projects from constraint to execution.

Role

Winters & Winters acts as principal sponsor capital. We commit to produced water midstream platforms — funding gathering, disposal, recycling, storage, and distribution infrastructure under long-term, fee-based commercial structures supported by acreage dedications and minimum volume commitments.

We do not operate facilities. We capitalize and structure the platforms that do, and we partner with experienced midstream operators, EPC firms, and E&P counterparties to deliver execution.

Capital

$200M

$200 million of committed capital is currently allocated to our Permian produced water mandate, with capacity to scale alongside contracted volumes and infrastructure footprint. Capital is family-office capital — long-duration, unconstrained by fund-cycle timing, and available for immediate deployment against signed commercial frameworks.

How We Engage

01

Counterparty Identification

We work with operators and platforms whose growth or service guarantees are constrained by the availability of contracted disposal and recycling capacity.

02

Capital Commitment & Structuring

We issue committed capital, negotiate the LOI, and structure the definitive agreements — capital commitment letters, MVCs, acreage dedications, and operating partnership terms.

03

Sponsor Stewardship

Post-close, we sit on the capital side of the partnership — providing strategic direction, oversight of major capital decisions, and continued capital availability to support contracted growth.

Counterparty Profile

We engage with publicly traded and privately held water midstream operators, integrated E&P producers, and infrastructure platforms with established commercial footprints in the Permian Basin. Engagements are structured bilaterally and governed by mutual non-disclosure prior to definitive negotiations.
